What is Statement 102, and why is it important?

A Statement 102 transaction is a sale‑of‑asset deal recognised under the B‑BBEE Codes (Code Series 100). Instead of issuing shares, a company (“measured entity”) sells a substantial, self‑standing business unit or tangible asset to a Black‑owned buyer at an independently determined fair‑market value. The value of that unit is then treated as if Black shareholders owned the same proportion of the whole company for B‑BBEE Ownership scoring.
